Smarter is a private money lender with numerous investors, they are organized as a partnership. Smarter lent money to a Borrower to buy a large, 230-acre parcel in Alpine. Unbeknownst to Smarter, Borrower had been fraudulently taking funds from investors for years using forged financial statements. The house of cards that Borrower built fell apart within a year of Smarter’s loan and Borrower then sought bankruptcy protection as Smarter moved towards foreclosure.

Through use of Chapter 11 client’s property interests were maintained

BSF had purchased a series of second mortgages. They are in the business of acquiring second deeds, foreclosing, taking possession, and working things out with either the borrower or the first position lender. At some point, there was a series of notes that were foreclosed on, however, BSF was unable to negotiate deals with either the first position lenders or the borrower. BSF’s interests in these properties were threatened due to impending foreclosures by the first position lenders.

Unorthodox Chapter 7 Filings Against A Construction Company

Our Firm represented a successful construction and building services company based here in San Diego. Through some creative accusations by the Chapter 7 Trustee, the client found itself the subject of a lawsuit (known as an adversary proceeding) filed in a pending bankruptcy for an unrelated debtor. The Trustee alleged that the assets of certain non-debtor corporations were alter egos for the debtor and, therefore, such assets were the property of the bankruptcy estate. Based on this allegation, the Trustee turned attention to our client and was determined to avoid and claw back all funds that had been transferred to our client as part of its construction services.
